Website Terms & Conditions

Last updated: 12 October 2026

This website, located at katewalkersos.com (“Website”), is owned and operated by Kate Walker, a sole trader based in Tauranga, New Zealand (“we”, “us”, “our”). We supply our products and services in trade.

These Terms & Conditions (“Terms”) govern your access to and use of the Website, and the booking, purchase and use of the products and services offered through it. By using the Website or engaging with its content, or by completing a purchase or booking, you agree to be bound by these Terms. If you do not accept these Terms, you must not use the Website or purchase our products or services.

These Terms may be updated from time to time in accordance with clause 17.

The following documents form part of the agreement between you and us and are to be read together with these Terms:

(a) our Privacy Policy;

(b) the Product Description applicable to your purchase or booking;

(c) any notice or instructions contained in a Digital Product or Online Tool;

(d) the group guidelines applicable to any group Programme; and

(e) in respect of one-to-one coaching, the Client Coaching Agreement.

To the extent of any inconsistency between these Terms and any of those documents in relation to a particular product or service, that document prevails in respect of that product or service.

1. Services

1.1 Kate Walker offers information and services related to coaching in relationships, self-worth and personal growth. Our products and services may include one-to-one coaching, group programmes and workshops (each a “Programme”), discovery calls and Digital Products.

1.2 In these Terms:

(a) “Digital Product” means any guide, workbook, worksheet, questionnaire, audio or video recording, recorded programme or other digital content supplied by us, whether by download, streaming or online access, and includes any Online Tool supplied with it;

(b) “Online Tool” means any interactive questionnaire, reflection tool or similar facility made available by us online;

(c) “Materials” means all content made available by us on the Website or in, or with, any Digital Product, Online Tool or Programme, including all words, frameworks, methods, exercises, questions, images, audio, video, branding and product names;

(d) “Product Description” means the description of a product or service published on its sales or booking page at the time of purchase or booking; and

(e) “Platform” means any third party platform through which we sell or deliver our products and services, which at the date of these Terms includes the platform operated by Podia (“Podia Platform”).

1.3 Depending on the product or service, the Materials may address subject matter including relationship breakdown and separation, grief, thoughts and emotions, stress and nervous system responses, body-based (somatic) practices, parts work, self-worth, values and needs, boundaries, trust, communication, relationship patterns, compatibility, intimacy, sex and desire, and decisions concerning relationships, including whether to remain in, leave or return to a relationship.

1.4 All content is provided for general guidance, education and reflection only. It does not constitute, and is not a substitute for, therapeutic, psychological, medical, legal, financial or parenting advice, diagnosis, treatment, crisis support or specialist family violence or abuse support. Coaching is not a substitute for mental health care.

1.5 Kate Walker is a certified coach. She is not a registered psychologist, psychotherapist, counsellor, social worker, medical practitioner, lawyer or financial adviser, and is not a family violence, sexual violence or abuse specialist or advocate. She does not hold herself out as any of these.

1.6 Digital Products and Website content are general in nature. They are not prepared with regard to your individual circumstances, and no person reviews your circumstances or your responses.

1.7 If psychological, medical or other professional support is needed, you should consult an appropriately qualified professional. You should also obtain appropriate professional advice in relation to your safety and any decision concerning children, separation, property, finances or your legal rights. You must not disregard or delay obtaining professional advice, or discontinue or alter any treatment or medication, in reliance on the Materials.

1.8 Certain Materials invite you to undertake gentle body-based practices, including breathing, movement and awareness of physical sensation. Participation in those practices is voluntary and at your own risk. You should cease any practice that causes pain, dizziness or distress, and should consult a health professional before participating if you are pregnant or have any health condition or injury.

1.9 We make no representation and give no warranty that any particular result, decision or change will be achieved, whether in relation to you, your relationship or any other person. Testimonials and client accounts reflect individual experiences only and do not constitute a representation that any other person will achieve the same or a similar result.

2. Eligibility

This Website and our products and services are intended for adults aged 18 and over. By making a purchase or booking, you warrant that you are aged 18 years or over and have the legal capacity to enter into a binding contract.

3. Coaching Relationship

3.1 Booking a discovery call, exploring services, using the Website, purchasing a Digital Product, or communicating with us by email or social media does not create a formal coaching relationship.

3.2 Coaching begins only once a separate written agreement in respect of one-to-one coaching (“Client Coaching Agreement”) has been signed by both parties.

3.3 Digital Products do not include personal support, feedback or review of your responses unless the Product Description expressly provides otherwise.

4. Intellectual Property

4.1 Ownership. All content on this Website and in all coaching materials and Digital Products, including words, images, branding and downloadable materials, belongs to Kate Walker, unless stated otherwise. Certain content (for example, stock images and fonts) is owned by third parties and is used by Kate Walker under licence. The Materials are protected by copyright and other intellectual property laws in New Zealand and internationally. All rights are reserved.

4.2 Licence. Upon payment in full for a Digital Product, we grant you a limited, personal, non-exclusive, non-transferable and revocable licence to access and use that Digital Product solely for your own private and non-commercial purposes. Each purchase confers a licence on one individual only. Under that licence you may:

(a) download and store the Digital Product on devices that you own or control;

(b) print one copy of the Digital Product for your personal use; and

(c) complete the Digital Product and retain your completed copy.

4.3 Your responses. Your own responses, notes and reflections remain your property. You may discuss your responses with, or show them to, a person who is supporting you in a personal capacity (including your own counsellor or therapist), provided that the Materials are not copied, retained or used by that person.

4.4 Restrictions. Content may not be copied, distributed or reused without our prior written permission. In particular, except as expressly permitted by clauses 4.2 and 4.3, you must not, and must not permit any other person to:

(a) share, forward, lend, upload, post, publish, sell, resell, distribute or otherwise make available the whole or any part of the Materials;

(b) disclose or share any customer login, access link or password;

(c) use the Materials in the course of, or for the purposes of, any business, profession or practice, including any coaching, counselling, therapy, teaching, training or facilitation, whether with clients, groups or otherwise;

(d) copy, reproduce, adapt, translate or modify the Materials, or create any derivative work, product, content or programme based on the Materials;

(e) remove, obscure or alter any copyright or proprietary notice; or

(f) use the Materials to train, fine-tune, test or develop any artificial intelligence or machine learning system, or extract the Materials by scraping, data mining or any other automated means.

4.5 No professional or commercial licence. No licence is granted to any coach, counsellor, therapist, facilitator or other practitioner to use the Materials with or for clients, or in any professional or commercial capacity, and no such licence is to be implied in any circumstances.

4.6 Testimonials. We will not publish any feedback or testimonial provided by you without your prior consent.

4.7 Breach. Any breach of this clause 4 results in the immediate termination of the licence granted under clause 4.2. In that event we may suspend or terminate your access to the relevant Digital Product, Online Tool or Programme without refund (except to the extent a refund is required by law), and we reserve all rights and remedies available to us at law or in equity, including the right to seek injunctive relief and damages.

5. Site Use

5.1 You agree to use this Website lawfully and respectfully. You must not interfere with Website functionality, misuse content, or submit inappropriate information via contact forms. Without limitation, you must not:

(a) gain or attempt to gain unauthorised access to any part of the Website or any related system;

(b) introduce any virus or other malicious code;

(c) extract or copy the content of the Website by any automated means;

(d) impersonate any person; or

(e) submit any abusive, offensive or unlawful material through the Website.

5.2 We will use reasonable endeavours to keep the Website and each Online Tool available and operational, but do not warrant that either will be available at all times or free from error. We may modify, suspend or remove any part of the Website at any time. Clauses 7 and 8 apply in respect of any product for which you have paid.

5.3 Content made available on the Website free of charge is general information only. While we take reasonable care to ensure that it is accurate and current, we give no warranty to that effect.

6. Discovery Calls

Free 15-minute discovery calls are available via the booking system. These are not coaching sessions and do not constitute advice, but are offered to support decision-making. Neither party is under any obligation to proceed following a discovery call. Availability may vary and is subject to approval, and we may decline or reschedule a discovery call at our discretion.

7. Payments & Refunds

7.1 Orders. The placing of an order constitutes an offer by you to purchase the relevant product or service. A contract is formed upon the earlier of our issuing an order confirmation and our providing you with access to the product or service.

7.2 Prices. Prices are displayed at checkout in the currency stated at checkout. Any goods and services tax, value added tax or sales tax that we are required to charge will be displayed before payment is made. Any currency conversion or international transaction fee charged by your bank or card provider is your responsibility.

7.3 Payment. Payment for Digital Products and other online guides is required upfront. Payment terms for one-to-one programmes and journeys will be stated at the time of booking. Where payment is to be made by instalments, you are liable to pay every instalment irrespective of whether you continue to attend or use the Programme, except as otherwise provided by law or by the terms applicable to that Programme. If any payment is not received when due, we may suspend your access until payment is received, having first given you notice.

7.4 Payment processing. Payments are processed by third party providers, which at the date of these Terms are Podia (checkout) and Stripe (card processing). We do not receive or store your full payment card details. The terms and conditions of those providers apply to the processing of your payment.

7.5 Errors. Where a product or service has been listed at an incorrect price or with an incorrect description as the result of an obvious error, we may cancel the order and will refund in full any amount paid.

7.6 Declined orders. We may decline or cancel an order where we reasonably consider it necessary to do so, including where we suspect fraud, where the purchaser is under 18 years of age, or where the purchaser has previously breached these Terms. In that event we will refund any amount paid in respect of that order.

7.7 Disputed charges. You agree to contact us in the first instance in relation to any disputed charge, so that we have a reasonable opportunity to resolve it.

7.8 No refund for change of mind. Digital Products are supplied immediately upon purchase and are incapable of being returned. Accordingly, and subject to clauses 7.11 and 7.12, refunds, credits and exchanges are not provided for change of mind, for a purchase made in error, for choosing not to access, use or complete an offering, or because a particular result or outcome was not achieved, unless otherwise stated in the Product Description.

7.9 Defective or inaccessible products. If a Digital Product is defective, cannot be accessed, or does not substantially correspond with its Product Description, you should notify us at kate@katewalkersos.com promptly and, in any event, within a reasonable time after becoming aware of the issue. We will repair or replace the Digital Product or, where the issue cannot be remedied within a reasonable time, refund the price paid.

7.10 Programmes. The cancellation, rescheduling and refund terms applicable to one-to-one coaching are set out in the Client Coaching Agreement, and those applicable to group Programmes and workshops are set out in the relevant Product Description. Unless those terms provide otherwise, missed sessions are not refundable, and where we cancel a Programme or session and are unable to reschedule it, we will refund the portion of the fee attributable to the services not provided.

7.11 New Zealand consumer law. Nothing in these Terms excludes, restricts or modifies any right or remedy available to you under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986. Clause 7.8 operates subject to, and not in substitution for, those rights and remedies.

7.12 Other jurisdictions. Where the consumer protection law of your place of residence confers rights or remedies that cannot lawfully be excluded, restricted or modified by agreement (including, where applicable, the Australian Consumer Law), nothing in these Terms excludes, restricts or modifies those rights or remedies.

7.13 Statutory withdrawal rights. Where the law of your place of residence confers a statutory right to withdraw from or cancel a contract concluded online (including the laws of the United Kingdom and of the member states of the European Union), you expressly request that we commence supply of the Digital Product immediately upon purchase, and you acknowledge that any such right of withdrawal or cancellation is lost once download of, or access to, the Digital Product has commenced.

7.14 Supply for business purposes. Where you acquire, or hold yourself out as acquiring, any product or service for the purposes of a business, you agree that the Consumer Guarantees Act 1993 does not apply to that supply, and that it is fair and reasonable for the parties to be bound by this clause.

8. Digital Products

8.1 Digital Products may include guides, workbooks, videos and other online resources. These are for personal use only and may not be copied, shared, reproduced, resold or distributed, except to the extent expressly permitted by clause 4.

8.2 Digital Products are educational resources and no particular outcome is guaranteed.

8.3 Delivery. Digital Products are delivered electronically through the Podia Platform. Following payment, you will be required to create a customer account on the Podia Platform, at no additional cost, in order to access and download the Digital Product. Access details will be sent to the email address provided at checkout.

8.4 Non-receipt. If access details have not been received within 24 hours of payment, you should check your junk or spam folder and then notify us at kate@katewalkersos.com. We will take reasonable steps to rectify the matter.

8.5 Technical requirements. You are responsible for ensuring that you have an internet connection, a current web browser, and software capable of opening the relevant file format. The file format is stated in the Product Description. Certain features, including fillable fields and hyperlinks, may operate differently on different devices and applications. No physical copy of any Digital Product will be supplied.

8.6 Downloading and storage. You are responsible for downloading and safely storing any materials provided. A downloaded copy may be retained for your personal use in accordance with clause 4.

8.7 Continuing access. Subject to clauses 8.8 and 8.9, access to a Digital Product through the Platform, and to any Online Tool supplied with it, will continue for so long as we continue to make that Digital Product or Online Tool available, and in any event for not less than 12 months from the date of purchase.

8.8 Withdrawal and discontinuance. We may at any time, at our sole discretion, cease to offer any Digital Product or Online Tool for sale, or withdraw, replace or retire it. Where we intend to withdraw your access to a Digital Product or Online Tool that you have purchased, we will give you not less than 30 days’ prior notice by email to the address associated with your purchase, so that you may download or save a copy before access ends. Following the minimum period specified in clause 8.7, no refund is payable by reason of a withdrawal effected in accordance with this clause.

8.9 Updates and new editions. We may update, revise or replace a Digital Product or Online Tool from time to time. Where we do so, the version made available to you through the Platform may be the updated version in place of the version originally purchased. Your purchase does not entitle you to any new edition that is released as a separate product, or to any other product or service, unless the Product Description expressly provides otherwise.

8.10 Copies retained by you. Any copy of a Digital Product, or of your responses to, or reflections from, an Online Tool, that you download, save or print is held by you and at your own risk. We have no access to or control over any such copy and, to the maximum extent permitted by law, accept no responsibility for its loss or for access to it by any other person. You should have regard to clause 14.5 and to our Privacy Policy before downloading, saving or printing any such copy.

8.11 Audio and video content. Audio and video content is supplied by streaming only, unless the Product Description expressly states that it may be downloaded.

9. Group Programmes

9.1 Participation in group offerings will require agreement to specific guidelines, including respectful participation and care for the privacy of others. Those guidelines will be provided to you before you join, and by joining a group Programme you agree to comply with them.

9.2 Confidentiality. Another participant’s personal information or story must not be shared outside the group. Each participant must keep confidential all personal information disclosed by any other participant, including that participant’s identity, experiences and circumstances. While confidentiality is expected, it cannot be guaranteed, and we accept no responsibility for compliance by other participants. Any personal information you disclose in a group Programme is disclosed at your own discretion and risk.

9.3 Recording by participants. Sessions may not be recorded by participants by any means. Participants must not capture screenshots or photograph any other participant.

9.4 Recording by us. Where we intend to record a session, we will notify you in advance of the recording, of the persons who will have access to it and of the period for which it will be retained, so that you may determine the manner of your participation.

9.5 Attendance. Sessions are conducted online by video conference. You are responsible for your own equipment and internet connection. Missed sessions are not refundable unless otherwise stated.

9.6 Changes and cancellation. We may vary the date or time of any session and will give as much notice as is reasonably practicable. Where we cancel a Programme, or are unable to deliver any part of it, we will refund the portion of the fee attributable to the services not provided.

9.7 Conduct and removal. Disruptive, harmful or unsafe behaviour may result in restriction of participation or removal from the group at our reasonable discretion. Where reasonably practicable, we will first raise the matter with the participant concerned. Where participation is terminated by reason of a serious or repeated breach of these Terms or of the group guidelines, no refund is payable, except to the extent required by law.

9.8 Suitability. A group Programme is not a therapeutic group. Where we consider that a group Programme is not suitable for your needs, we may discuss alternative options with you. Where you withdraw at our request on that basis, we will refund the portion of the fee attributable to the sessions you have not attended.

10. Confidentiality

10.1 Information you submit is handled with care and in accordance with our Privacy Policy. However, email and Website forms are not secure methods of transmitting sensitive information. You should avoid sharing sensitive details through forms and should provide only such information as is necessary. The Website loads over a secure (HTTPS) connection only. Contact and waitlist form submissions are stored in the Website’s database and sent to our business email. The Clarity Check does not use a form: your responses are never submitted to the Website, and are handled as described in clause 15 and our Privacy Policy.

10.2 Confidentiality of coaching services is covered separately in the Client Coaching Agreement.

10.3 Website enquiries, product support communications and social media messages do not form part of a confidential coaching or clinical service, although any personal information contained in them will be handled in accordance with our Privacy Policy.

11. Third-Party Links

11.1 External links may be provided for your convenience. We do not control, and are not responsible for, the content, safety, accuracy or privacy practices of any third-party sites.

11.2 We use third party platforms to deliver our products and services and to communicate with you, which at the date of these Terms include Podia, Stripe, Calendly and ManyChat. Your use of those platforms is subject to their own terms and privacy policies. We are not responsible for any failure of a third party platform that is beyond our reasonable control. Where such a failure prevents you from receiving a product or service for which you have paid, you should notify us and we will take reasonable steps to remedy the matter.

12. Limitation of Liability

12.1 Rights that cannot be excluded. Nothing in these Terms excludes, restricts or modifies any right, remedy, guarantee or liability that cannot lawfully be excluded, restricted or modified, including under the Consumer Guarantees Act 1993 and the Fair Trading Act 1986, under any equivalent consumer protection law of your place of residence that cannot be excluded by agreement, and any liability for fraud. The remainder of this clause 12 is subject to this clause 12.1.

12.2 Responsibility for decisions. All decisions and actions remain your responsibility. You are solely responsible for the decisions you make and the actions you take or do not take, including decisions concerning your relationships.

12.3 Exclusions. To the maximum extent permitted by law, you agree that Kate Walker is not liable, whether in contract, tort (including negligence), equity or otherwise, for any loss, damage, cost or expense arising directly or indirectly from:

(a) any decision made, or any action taken or not taken, by you following your use of the Website, any Digital Product, any Online Tool or any Programme, including any decision concerning a relationship, separation, children, living arrangements, finances, employment or health, or any other aspect of your personal or professional life;

(b) the acts or omissions of any other person, including a partner or former partner;

(c) any use of the Materials otherwise than in accordance with these Terms or the instructions supplied with them, including any reliance on the Materials in place of professional advice, as an assessment of safety, or as the sole or determining factor in any decision;

(d) any event or circumstance beyond our reasonable control, including any failure of your device, software or internet connection, or any failure of a third party platform; and

(e) any loss of income, profit, opportunity or data, and any indirect or consequential loss.

12.4 Limitation. To the maximum extent permitted by law, our total aggregate liability to you arising out of or in connection with any product, Programme or service, whether in contract, tort (including negligence), equity or otherwise, is limited to the amount paid by you to us for that product, Programme or service.

12.5 Acknowledgement. You acknowledge that the exclusions and limitations in this clause 12 are reasonable, having regard to the general and self-directed nature of the Digital Products, the price at which they are supplied, and our inability to know or control the circumstances in which they are used.

12.6 Indemnity. You indemnify us against any loss, damage, cost or expense (including reasonable legal costs) incurred by us as a direct result of your breach of clause 4 or clause 5.

13. Governing Law

13.1 These Terms are governed by the laws of New Zealand. Each party submits to the non-exclusive jurisdiction of the courts of New Zealand.

13.2 Where you are a consumer resident outside New Zealand, clause 13.1 does not deprive you of the protection of any provision of the law of your place of residence that cannot be excluded by agreement.

13.3 Any complaint should be directed in the first instance to kate@katewalkersos.com. We will respond as soon as reasonably practicable and will endeavour in good faith to resolve the matter.

14. Safety and Support

14.1 The Materials address subject matter that may cause emotional distress. You may pause, omit any part of, or cease using the Materials at any time. Nothing in the Materials requires you to contact, confront, forgive, reconcile with, or disclose anything to, any other person.

14.2 Our Digital Products and Online Tools are not designed or intended to assess whether any person or relationship is safe, and must not be relied upon for that purpose. They are not designed for, and are not suitable for use in, circumstances involving family violence, abuse, threats, coercive or controlling behaviour, monitoring, or fear of a partner or former partner. If any of those circumstances apply to you, you should contact a specialist support service, and should not use or rely on a Digital Product or Online Tool in place of that support.

14.3 We do not monitor your use of any Digital Product or Online Tool, and we are unable to identify or respond to an emergency. Email, Website forms and social media messages are not monitored continuously and must not be used to seek urgent assistance.

14.4 If you require immediate assistance:

(a) in an emergency, call 111 in New Zealand or your local emergency number;

(b) Family Violence Information Line (Are You OK): 0800 456 450, available 24 hours a day;

(c) Women’s Refuge Crisis Line: 0800 733 843;

(d) Need to Talk: call or text 1737, free of charge, at any time; and

(e) in New Zealand or overseas: findahelpline.com and befrienders.org provide directories of free helplines by country.

14.5 If any other person has access to, or is able to monitor, your devices, email or online accounts, you should consider using a device to which that person does not have access before purchasing, downloading, saving, printing or completing any Digital Product or Online Tool.

15. Questionnaires and Online Tools

15.1 Certain Digital Products include questionnaires, rating scales, worksheets or Online Tools that generate written reflections or a summary by reference to your responses.

15.2 Those questionnaires and Online Tools are provided solely as an aid to personal reflection. They are not clinical, diagnostic or scientifically validated assessments, are not an assessment of relationship safety or risk, and are not capable of predicting the conduct of any person.

15.3 Unless the notice displayed at the start of an Online Tool states otherwise, any reflection or summary is generated automatically from your responses by reference to predetermined wording, selected within your browser. No person reviews your responses, no artificial intelligence is used, and your responses are not processed on any server.

15.3A How Clarity Check reflections are selected. In each Part of the Clarity Check that is answered on the coloured scale (and, in Part Three, in each of its two sets of scale questions), your responses are grouped as “mostly red”, “mostly green” or “spread across the spectrum” by a simple count. Where at least two thirds of those responses sit toward the red end of the scale, they are grouped as “mostly red”. Where at least two thirds sit toward the green end, they are grouped as “mostly green”. Otherwise, they are grouped as “spread across the spectrum”. In Part Six, which is answered “Yes” or “No”, responses are grouped as “mostly Yes” or “mostly No” where at least six of the eight responses are the same, and otherwise as “a mix of Yes and No”. In Part Five, the questions headed “If trust has been broken”, which may be answered “Yes”, “No” or “Not applicable” (each of which counts as a response), are not grouped. Once all of those questions have been answered, the same predetermined note is displayed regardless of the responses given, and the final summary lists any of those questions to which you answered “No”. The grouping is used only to select which predetermined reflection is displayed. No numerical score is displayed. The grouping is not an assessment or evaluation of you, any other person or the relationship, and it does not weigh the significance of any individual response. A reflection is displayed only once every question in that Part, or set of questions, has been answered. We may adjust these rules from time to time, and the rules in operation when you use the Clarity Check will apply.

15.4 A reflection or summary, and the position, colour or rating of any response (including any position within a green, yellow or red range):

(a) does not constitute advice, an assessment, evaluation, finding, diagnosis or verdict in respect of you, your relationship or any other person, or a recommendation that you remain in, leave or return to a relationship, or contact any person;

(b) does not indicate or establish that any relationship or person is safe or unsafe, healthy or unhealthy, or abusive; and

(c) is dependent on the accuracy of the responses entered and reflects those responses only at the time they are entered.

15.5 A response or reflection that appears favourable does not indicate that a relationship or person is safe. A response or reflection that appears unfavourable does not constitute a finding or diagnosis in respect of you or any other person. You must not rely on any Online Tool in making any decision concerning your safety. An Online Tool is a reflective aid only. It asks a range of questions across a number of different areas, but it is not designed to, and does not, address every situation, circumstance or question that may be relevant to you or to your decision, or that is known to you. It does not take account of anything you have not entered, and you must not rely solely or principally on it, or on any response or reflection within it, in making any decision. It is not intended to be the sole or determining factor in any decision you make. Any decision you make is yours alone, and should be made having regard to all of the information and circumstances known to you.

15.6 Each Online Tool displays a notice before use describing how the Online Tool operates and how your responses are handled. You must read that notice before using the Online Tool. Before the Clarity Check opens, you will be asked to confirm that you have read and agree to that notice and to these Terms. The questions cannot be accessed until you do so. That confirmation is recorded in your browser only and is not sent to us.

15.7 Any password or access link supplied for an Online Tool is personal to the purchaser and must not be disclosed to or shared with any other person. Access to the Clarity Check is by a password sent to you by email. The password unlocks the Clarity Check page in your browser until the browser is closed or Quick Exit is selected. The page is not listed in search engines. Because access is by a single shared password, we are unable to see who has accessed the Clarity Check or when.

15.8 Unless the notice displayed at the start of an Online Tool states otherwise, responses entered in an Online Tool are stored only in your browser, may be lost or deleted as described in the notice displayed at the start of that Online Tool, and cannot be recovered by us. You should print or save a copy of your responses if you wish to retain them.

16. Events Beyond Our Control

We will not be in breach of these Terms, nor liable for any delay or failure in performance, to the extent that the delay or failure is caused by an event or circumstance beyond our reasonable control, including illness, family emergency, natural disaster, or failure of the internet or of a third party platform. In that event we will notify you and will perform, or reschedule performance, as soon as reasonably practicable. Where we are unable to supply a product or service for which you have paid within a reasonable time, we will refund the portion of the price attributable to the product or service not supplied.

17. Changes to These Terms

17.1 We may update these Terms at any time. The current version is identified by the “Last updated” date stated above. The version of these Terms in force at the time of a purchase applies to that purchase.

17.2 Where you are participating in a Programme and we propose to make a material amendment to the terms applicable to that Programme, we will give you prior notice of the amendment. Where the amendment is materially detrimental to you, you may cancel your participation, and we will refund the portion of the fee attributable to the services not provided.

18. General

18.1 Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision is to be severed and the remaining provisions continue in full force and effect.

18.2 Waiver. No failure or delay by us in exercising any right under these Terms operates as a waiver of that right.

18.3 Assignment. You may not assign or transfer any purchase, licence or place in a Programme without our prior written consent. We may assign or transfer our rights and obligations under these Terms in connection with any restructure or sale of our business, provided that your rights are not diminished.

18.4 Entire agreement. These Terms, together with the documents listed in the introduction to these Terms, constitute the entire agreement between you and us in relation to their subject matter.

18.5 Electronic communications. You consent to receiving communications from us in electronic form, including order confirmations and notices sent by email.
